Part I · Website Terms of Use
1. Acceptance of These Terms
This website is operated by an Authorized Dealer of Gemstone Lights® serving the North Atlanta area (the “Site”). By accessing or using the Site, requesting a quote, or otherwise communicating with us through the Site, you agree to these Terms & Conditions and to our Privacy Policy and Cookie Policy, which are incorporated into these terms by reference.
If you do not agree with these terms, please do not use the Site. We may update these terms from time to time; the revised terms take effect when posted, and your continued use of the Site means you accept them.
2. Use of the Site
You may use the Site for your own personal, non-commercial purposes — browsing our products, learning about installation, and contacting us about work on your property. You agree not to:
- Use the Site in any way that breaks applicable law, or that infringes anyone’s rights
- Attempt to gain unauthorized access to the Site, its servers, or any connected system
- Interfere with the Site’s operation, security, or availability, including by introducing malicious code
- Scrape, harvest, or systematically copy content, images, or contact information from the Site
- Submit false, misleading, or third-party contact details in any form on the Site
We may suspend or withdraw access to the Site at any time, and we may change or remove any part of its content without notice.
3. Quotes, Estimates, and Pricing
Any figure, range, or configuration shown on the Site is for general information only and is not an offer or a binding quote. Every home is different: final pricing depends on an on-site assessment of your roofline, materials, access, electrical situation, and the options you choose.
A binding price exists only in a written quote or proposal we provide to you and that you accept. Work is performed under that written agreement, not under these terms.
Product renderings, photography, and lighting demonstrations on the Site are illustrative. Colour, brightness, and appearance vary with camera, screen, material, and ambient light, and are not a guarantee of the result on your home.
4. Products, Installation, and the Dealer Network
Gemstone Lights® products are manufactured by Gemstone Lights Canada Ltd. and are sold and installed exclusively by trained Authorized Dealers, each of which operates as an independent business. Installation, scheduling, on-site work, and labour warranty for your project are the responsibility of the dealer performing the work.
Gemstone Lights Canada Ltd. warrants its products against material defects in workmanship, construction, or materials for five (5) years from the date of order, on the terms set out in Section 3.1 of the Authorized Dealer Agreement below. Your installing dealer provides a minimum of a one (1) year labour warranty, managed by that dealer directly.
Before signing anything, you can confirm that a company is a current Authorized Dealer. If you were contacted by someone claiming to represent Gemstone Lights and you are unsure, please get in touch with us.
5. Intellectual Property
Gemstone Lights®, the Gemstone Lights logo, and all associated trademarks, product designs, patents, and copyrighted material are the property of Gemstone Lights Canada Ltd. and are used on this Site under authorization. All other Site content — text, layout, photography, video, and graphics — is owned by us or our licensors.
You may not copy, reproduce, republish, frame, or use any of it for commercial purposes without prior written permission. Nothing on the Site grants you any licence or right in any of these marks or materials.
6. Disclaimers
The Site and its content are provided “as is” and “as available”. We make reasonable efforts to keep information accurate and current, but we do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any content, specification, or availability shown is complete or up to date.
Nothing on the Site is professional advice about your specific property — including electrical, structural, roofing, permitting, or code compliance. Those questions should be settled during an on-site assessment before work begins.
The Site may link to third-party websites, tools, or app stores. We do not control them and are not responsible for their content, practices, or privacy policies.
7. Limitation of Liability
To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of your use of — or inability to use — the Site or its content, even if we have been advised of the possibility of those damages.
Nothing in this section limits any liability that cannot be limited or excluded under applicable law, and nothing in it affects the warranties or obligations set out in a signed written agreement for work on your property.
8. Governing Law and Contact
These website terms are governed by the laws of the Province of Alberta and the laws of Canada applicable in that Province, consistent with the Authorized Dealer Agreement below, without limiting any consumer protection rights available to you where you live.
Questions about these terms, or about work on your property, can be sent to us using the contact form on this Site or to the address below.

Article 2 — Initial Authorization and Duties
2.1 Appointment and Authorization
Gemstone hereby authorizes the Dealer to purchase, sell, and install Products, subject to the terms and conditions of this Agreement. The Dealer is appointed to sell and install Products to Customers within a reasonable geographic service area to be approved by Gemstone. If the Dealer wishes to become authorized to sell and install Products in additional geographic areas, the Dealer must complete an authorized dealer application for each desired new area. Every new area must meet all requirements laid out in the application for all new Dealers found on the website, which requirements are subject to change at any time. Gemstone must approve each new location before operations are permitted to commence.
2.2 Authority Not Transferable
The Dealer is not permitted to extend, transfer, or assign this appointment to any other Person. The Dealer may form relationships with other companies to promote the Products; however, the Dealer is the only organization authorized to install the Products. The Dealer is not permitted to set up other dealers under them for the purpose of redistributing or reselling Products and is also not permitted to sell Products to any Person without performing the installation of those Gemstone Products, including the sale of Products to any Person for the purpose of self installation. All installations of Products must be completed by a trained and authorized dealer of Gemstone.
2.3 Duties of the Dealer
- The Dealer will, at its own cost and expense, make its best efforts to advertise and promote the sale of the Products, and satisfy all legal requirements for the delivery and, if applicable, importation, sale and installation of the Products.
- The Dealer is solely responsible to comply with and satisfy all local legal requirements, building codes, and electrical codes when selling and installing Products and is liable for any local infractions and penalties associated with non-compliance.
- The Dealer is fully responsible for the complete satisfaction of its customers and will make best efforts to resolve any issues as they arise and maintain a positive image for Gemstone while upholding the highest standards of quality installations and customer service.
- The Dealer must honor Gemstone’s 5-year Products warranty with their customers and must also provide a minimum of a one (1) year labor warranty managed by the Dealer directly.
- The Dealer agrees that they must purchase Gemstone tracks when installing the Gemstone track system and is not permitted to build their own track or purchase materials or products from any competitor of Gemstone.
- In carrying out its duties under this Agreement, the Dealer will conduct itself with professionalism and work with neighboring authorized dealers in a cooperative and positive manner.
2.4 Marketing and Advertising
Any marketing material used by the Dealer, including brochures, business cards, banners, websites, and online advertising, must clearly state that the Dealer is an “Authorized Dealer of Gemstone Lights” and ensure that in no way can it be construed that the Dealer is the manufacturer of the Products or an agent of Gemstone. All designs for marketing material for trade shows including, but not limited to, banners, brochures and signs for the first time must receive the approval of Gemstone before sending it to local print. The Dealer must sell the Products using Gemstone’s brand name and is authorized to use Gemstone’s logo and trademarks for that purpose. The Dealer shall not rebrand any Products, make any false or misleading representations or warranties to any of its customers, or engage in any unfair, competitive, misleading or deceptive practices.
2.5 Additional Rules, Policies, and Guidelines
To ensure the quality and continuity of Gemstone’s brand, Gemstone has additional rules, policies, and guidelines, including but not limited to the Initial Requirements set out in Schedule “A” to this Agreement, Gemstone’s Branding Guidelines, Code of Ethics, Code of Conduct, and terms of service for the Gemstone store. The Dealer agrees to comply with all such rules, policies, and guidelines as may be in force from time to time. The Dealer acknowledges that such adherence is a condition to this Agreement and that a violation of any such rules, policies, or guidelines may be grounds for immediate termination.
2.6 Insurance
The Dealer acknowledges that it is solely responsible for ensuring that it and each of its officers, employees, subcontractors, or representatives has appropriate insurance, including but not limited to workers’ compensation coverage, disability, errors and omissions, and comprehensive general liability insurance coverage, and the Dealer agrees to provide proof of such coverage to Gemstone upon request.
Article 3 — Warranty, Title and Risk
3.1 Warranty
Gemstone warrants, for a period of five (5) years from the date the Dealer orders the Products, that the Products will not have any material defects in workmanship, construction, or materials. If any material nonconformity or material defect of any Products become apparent during that period, the Dealer may return the defective Products to Gemstone at the Dealer’s own cost and expense. If the Dealer returns any defective Products to Gemstone, the sole obligation of Gemstone will be, at its own expense and at its option, to either repair or replace those Products or their components.
When any item of the Products or components of the Products is repaired or replaced under this warranty, Gemstone warrants that item or component for a further period of five (5) years from the date of repair or replacement on the same terms that apply to originally delivered Products.
3.2 Title and Risk
Title to the Products, and all risks related to the Products, pass to the Dealer at the time of transfer to the Dealer’s designated carrier at the shipping point.
Article 4 — Intellectual Property
4.1 Intellectual Property
The Dealer may use the Intellectual Property only as authorized by Gemstone in connection with the sale and installation of the Products as authorized under this Agreement.
4.2 No Transfer of Rights
Nothing in this Agreement will be deemed in any way to constitute a transfer or assignment of the Intellectual Property by Gemstone, or to give the Dealer any right, title or interest in or to the Intellectual Property, and the Dealer acknowledges that the Intellectual Property and all goodwill associated with the Intellectual Property are and will remain the exclusive property of Gemstone.
4.3 Protection of the Intellectual Property
The Dealer will:
- notify Gemstone promptly of any suspected unauthorized use, infringement or passing off, or any pending or threatened litigation or other proceeding, concerning the Intellectual Property which may come to its attention; and
- execute all applications, agreements or other instruments that may be reasonably requested by Gemstone for the purpose of protecting the interests and rights of Gemstone in the Intellectual Property.
4.4 No Reverse Engineering
Without limiting the generality of Section 4.3, the Dealer shall not, in any capacity or manner, whether directly or indirectly, individually or in partnership or otherwise jointly or in concert with any other Person, decompile, copy, reverse engineer, decrypt, extract, or disassemble, or aid or assist in the decompilation, duplication, reverse engineering, decryption, extraction, or disassembly of, all or any part of the Products.
Article 5 — Non-Competition, Non-Solicitation, and Confidentiality
5.1 Non-Competition and Non-Solicitation
The Dealer will not, during the term of this Agreement and for a period of two (2) years from the date of termination of this Agreement, in any capacity or manner, whether directly or indirectly, individually or in partnership or otherwise jointly or in concert with any other Person:
- advise, be engaged or interested in, be concerned or associated with, or carry on, lend money to, provide financial assistance to, or guarantee the debts or obligations of, or permit its name or any part of that name to be used or employed by any Person in connection with, a business or undertaking that competes with the business of Gemstone within North America; or
- solicit any Customer or knowingly assist any Person directly or indirectly to solicit any Customer, or induce or attempt to induce any Customer to reduce or curtail its business with Gemstone or to terminate its relationship with Gemstone.
5.2 Confidentiality
The Dealer acknowledges and agrees that during its association with Gemstone, it will acquire Confidential Information. Accordingly, the Dealer agrees to hold in strict confidence and not disclose or use, and the Dealer will not allow any of its representatives to disclose or use, any Confidential Information, for any purpose, except as necessary to carry out its obligations under this Agreement.
If the Dealer or any representative of the Dealer is required by any applicable law or by any Governmental Authority to disclose any Confidential Information, the Dealer or that representative will provide Gemstone with prompt written notice of that requirement, so that Gemstone may contest the disclosure of the Confidential Information and seek an appropriate protective order or other appropriate remedy.
The Dealer will notify Gemstone immediately upon discovery of any breach of this Section 5.2 or any unauthorized or unlawful disclosure, divulgence, communication or use of any Confidential Information.
Use of Confidential Information by, or disclosure of Confidential Information to, any Person that is not a Party to this Agreement or a representative of the Dealer permitted by the Dealer to have access to the Confidential Information, that results from a breach of the electronic security of the computers and data storage and retrieval systems or network of the Dealer or, if applicable, any representative of the Dealer, will be treated as a disclosure by the Dealer contrary to the terms of this Agreement, whether or not the breach results from a failure by the Dealer or, if applicable, any representative of the Dealer, to implement appropriate security measures consistent with best practices or otherwise take necessary precautions in order to secure the Confidential Information.
The obligations and covenants contained in this Section 5.2 will be perpetual.
5.3 Covenants Reasonable
The Dealer acknowledges and agrees that without the covenants included in this Article 5, Gemstone would not have entered into this Agreement, that the covenants included in this Article 5 are reasonable in the circumstances and are necessary to protect the economic position of Gemstone, and that a breach of any of the Sections of this Article 5 would cause serious and irreparable harm to Gemstone which could not be compensated adequately by monetary damages, and that Gemstone may enforce the Sections of this Article 5 by injunction or specific performance upon application to a court of competent jurisdiction without proof of actual damage, and despite that damages may be readily quantifiable, and the Dealer will not plead, and will not permit any of its representatives to plead, sufficiency of damages as a defence in the proceeding for injunctive relief.
The remedies provided by this Section 5.3 are in addition to, and not a substitute for, any other remedies for breach to which Gemstone would be entitled.
Article 6 — Indemnification, Limitation on Liability and Termination
6.1 Indemnification by Dealer
The Dealer will indemnify and save harmless Gemstone for any loss, liability, damage, cost, expense, charge, fine, or penalty (including the costs and expenses of any action, suit, proceeding, demand, assessment, judgment, settlement or compromise, and all interest, punitive damages, fines, penalties and reasonable professional fees and disbursements) which may be incurred by it arising out of any improper use or installation of the Products, or any misrepresentation, failure to perform, or breach of this Agreement by the Dealer or its representatives.
6.2 Termination
Gemstone reserves the right to refuse the sale of products to the Dealer and may terminate this Agreement for any reason upon written notice to the Dealer.
6.3 Effect of Termination
Upon termination of this Agreement, the Dealer will immediately:
- cease selling and installing Products;
- cease advertising itself as an authorized dealer of Gemstone;
- cease using the Intellectual Property in any manner;
- return to Gemstone all Confidential Information, and all advertising, informational, or technical material relating to the Products or Gemstone in the Dealer’s possession; and
- provide Gemstone with the contact information of every customer that received Products from the Dealer during the course of this Agreement.
6.4 Continuing Obligations
Termination of this Agreement will not release, discharge, or otherwise affect the warranty obligations of Gemstone or the Dealer, any limitations on liability or indemnification obligations contained in this Agreement, or the application of the provisions of Article 5.
Article 7 — General
7.1 Time of Essence
Time is of the essence in all respects of this Agreement.
7.2 Amendment and Waiver
No amendment, discharge, modification, restatement, supplement, termination or waiver of this Agreement or any Section of this Agreement is binding unless it is in writing and executed by each Party. No waiver of, failure to exercise, or delay in exercising, any Section of this Agreement constitutes a waiver of any other Section (whether or not similar) nor does any waiver constitute a continuing waiver unless otherwise expressly provided.
7.3 Assignment and Enurement
Neither this Agreement nor any right or obligation under this Agreement may be assigned by the Dealer without the prior written consent of Gemstone. This Agreement enures to the benefit of and is binding upon the Parties and their respective heirs, executors, administrators, estate trustees, trustees, personal or legal representatives, successors and permitted assigns.
7.4 Notices
Any notice, demand, request, consent, approval, or other communication which is required or permitted by this Agreement to be given or made by a Party must be in writing and either delivered personally or by courier, sent by prepaid registered mail, or transmitted by e-mail or functionally equivalent electronic means of transmission, charges (if any) prepaid, and must be sent to the intended recipient at its address as follows:
- to the Dealer, at the address noted on the first page of this Agreement; or
- to Gemstone at the following address: 170, 11080 – 50 Street SE, Calgary, AB T2C 5T4 — Attention: Cole Heavenor, Tel. No.: 1-888-908-2675, E-mail: cole@gemstonelights.com
or at any other address as any Party may at any time advise the other in accordance with this Section 7.4. Any notice or communication delivered to the Party to whom it is addressed will be deemed to have been given or made and received on the day it is delivered, provided that if that day is not a business day then the notice or communication will be deemed to have been given or made and received on the next business day.
7.5 Governing Law
This Agreement is governed by, and is to be construed and interpreted in accordance with, the laws of the Province of Alberta and the laws of Canada applicable in that Province.
7.6 Submission to Jurisdiction
Each of the Parties irrevocably and unconditionally submits and attorns to the exclusive jurisdiction of the courts of the Province of Alberta to determine all issues, whether at law or in equity, arising from this Agreement. To the extent permitted by applicable law, each of the Parties:
- irrevocably waives any objection, including any claim of inconvenient forum, that it may now or in the future have to the venue of any legal proceeding arising out of or relating to this Agreement in the courts of that Province, or that the subject matter of this Agreement may not be enforced in those courts;
- irrevocably agrees not to seek, and waives any right to, judicial review by any court which may be called upon to enforce the judgment of the courts referred to in this Section 7.6, of the substantive merits of any suit, action or proceeding; and
- to the extent a Party has or may acquire any immunity from the jurisdiction of any court or from any legal process, whether through service of notice, attachment before judgment, attachment in aid of execution, execution or otherwise, with respect to itself or its property, that Party irrevocably waives that immunity in respect of its obligations under this Agreement.
7.7 Severability
Each Section of this Agreement is distinct and severable. If any Section of this Agreement, in whole or in part, is or becomes illegal, invalid, void, voidable or unenforceable in any jurisdiction by any court of competent jurisdiction, the illegality, invalidity or unenforceability of that Section, in whole or in part, will not affect the legality, validity or enforceability of the remaining Sections of this Agreement, in whole or in part, or the legality, validity or enforceability of that Section, in whole or in part, in any other jurisdiction.
7.8 Further Assurances
Each Party will execute and deliver any further agreements and documents and provide any further assurances, undertakings and information as may be reasonably required by the requesting Party to give effect to this Agreement and, without limiting the generality of this Section 7.8, will do or cause to be done all acts and things, execute and deliver or cause to be executed and delivered all agreements and documents and provide any assurances, undertakings and information as may be required at any time by all Governmental Authorities having jurisdiction over the affairs of a Party or as may be required at any time by a Governmental Authority.
7.9 Conduct of Parties
Whenever a Section of this Agreement or a Schedule requires a consent or approval by a Party and notification of the consent or approval is not delivered within the applicable time limit, then, unless otherwise specified, the Party whose consent or approval is required will be conclusively deemed to have withheld its consent or approval.
7.10 Remedies Cumulative
The rights, powers and remedies under this Agreement are cumulative and are in addition to and not in substitution for any other rights, powers and remedies available at law or in equity or otherwise. No single or partial exercise by a Party of any right, power or remedy precludes or otherwise affects the exercise of any other right, power or remedy to which that Party may be entitled.
7.11 Entire Agreement
This Agreement constitutes the entire agreement between the Parties pertaining to the subject matter of this Agreement and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, of the Parties, and there are no representations, warranties or other agreements between the Parties in connection with the subject matter of this Agreement except as specifically set out in this Agreement. No Party has been induced to enter into this Agreement in reliance on, and there will be no liability assessed, either in tort or contract, with respect to, any warranty, representation, opinion, advice or assertion of fact, except to the extent it has been reduced to writing and included as a term in this Agreement.
7.12 Acknowledgment

- it has received or had the opportunity to receive independent legal advice from its own lawyer with respect to the terms of this Agreement before its execution;
